Terms & Conditions

1. Nature of these terms

1.1. These terms shall apply to all orders for Goods and Services accepted by RAPID IT SUPPORT LIMITED and supersede any previous terms.

1.2. Acceptance by RAPID IT SUPPORT LIMITED of any order for Goods or Services is conditional upon acceptance by the Client of these terms, which shall override all other terms whether express, implied or otherwise.

1.3. No other terms and no subsequent variation shall be binding unless specifically accepted in writing.

1.4. RAPID IT SUPPORT LIMITED shall not be bound by the placing of an order until and unless RAPID IT SUPPORT LIMITED has issued an Order Acceptance.

1.5. RAPID IT SUPPORT LIMITED and the Client mutually acknowledge that they do not rely on any representation except as expressly provided in these Terms.

2. Services

2.1. RAPID IT SUPPORT LIMITED will provide such services as may be agreed with all proper skill and care.

2.2. RAPID IT SUPPORT LIMITED and its Consultants are professionals who will use their own initiative regarding the manner in which the Services are delivered.

2.3. Where Services are performed on the Client’s premises, the Client shall provide access, facilities, and cooperation reasonably necessary.

2.4. RAPID IT SUPPORT LIMITED shall provide equipment necessary for performing the Services.

2.5. The Client shall nominate a representative as the main point of contact.

2.6. Any estimate of charges is provided in good faith and may be adjusted if information supplied by the Client is inaccurate.

2.7. For Time and Materials agreements, RAPID IT SUPPORT LIMITED will maintain accurate records of time and expenses.

2.8. A maximum figure estimate does not guarantee completion of all specified tasks.

2.9. RAPID IT SUPPORT LIMITED may decline work outside the agreed scope of Services.

2.10. RAPID IT SUPPORT LIMITED will not receive undisclosed payments from third parties related to the Services.

3. Copyright and Intellectual Property Rights

3.1. Intellectual Property Rights created during Services shall belong to the Client unless otherwise stated.

3.2. Library Code and pre-existing works remain the property of RAPID IT SUPPORT LIMITED or the original Owner.

3.3. Other intellectual property created during the Services shall remain property of RAPID IT SUPPORT LIMITED.

3.4. The Client warrants that supplied materials do not infringe third-party intellectual property rights.

3.5. Neither party shall misuse or damage the other party’s intellectual property rights.

4. Goods

4.1. Goods include hardware and software supplied by RAPID IT SUPPORT LIMITED.

4.2 Prices

4.2.1. Prices may be adjusted according to market conditions.

4.2.2. Prices may vary depending on quantity ordered.

4.2.3. Delivery location or specification changes may affect pricing.

4.3 Drawings

4.3.1. Drawings, dimensions, and descriptions are approximate and shall not form part of any contract.

4.4 Delivery and Installation

4.4.1. Delivery dates are estimates unless otherwise agreed in writing.

4.4.2. Liability for delayed delivery is limited to the value of undelivered Goods.

4.4.3. The Client must provide delivery instructions when requested.

4.4.4. Deliveries occur during normal working hours unless agreed otherwise.

4.4.5. The Client shall prepare the delivery and installation area.

4.5 Damage, Shortage or Loss in Transit

4.5.1. RAPID IT SUPPORT LIMITED accepts responsibility for transit damage if properly notified.

4.5.2. RAPID IT SUPPORT LIMITED may repair or replace damaged Goods.

4.6 Title to Goods and Passing of Risk

4.6.1. Risk passes to the Client upon delivery.

4.6.2. Ownership remains with RAPID IT SUPPORT LIMITED until full payment is received.

4.6.3. The Client must store Goods separately and clearly mark them as property of RAPID IT SUPPORT LIMITED.

4.6.5 Warranty

4.6.5.1. Goods are warranted against defects for 90 days unless otherwise specified.

4.6.5.2. Used or refurbished Goods may be returned within 90 days.

4.6.5.3. Warranty claims must be submitted in writing.

4.6.5.4. Invalid warranty claims may result in investigation charges.

4.6.5.5. Warranty excludes damage caused by misuse or improper operation.

4.7 Hire and Loan

4.7.1. Hired or loaned Goods remain the property of RAPID IT SUPPORT LIMITED.

4.7.2. The Client shall insure hired or loaned Goods.

4.7.3. The Client shall maintain hired Goods in good working order.

5. Payment

5.1. All payments shall be made in UK pounds sterling.

5.2. RAPID IT SUPPORT LIMITED may invoice monthly for Time and Materials agreements.

5.3. The Client shall reimburse travel and accommodation expenses.

5.4. The Client shall reimburse costs of materials and third-party services.

5.5. Payment is due within 14 days unless agreed otherwise.

5.6. The Client may not withhold payment due to disputes unless agreed.

5.7. Overdue invoices may incur interest charges.

6. RAPID IT SUPPORT LIMITED’s Liability

6.1. Results depend on accurate information and implementation by the Client.

6.2. Goods and Services are not intended for High Risk Systems.

6.3. RAPID IT SUPPORT LIMITED is not liable for indirect loss, data loss, or service delays.

6.4. Liability for negligent misrepresentation is excluded where permitted by law.

6.5. Consequential losses including loss of profit are excluded.

6.6. Claims must be notified within twelve months.

7. Termination and Consequences

7.1. RAPID IT SUPPORT LIMITED may suspend or terminate Services for breach or non-payment.

7.2. Non-payment may result in suspension without notice.

7.3. Interest may be charged on overdue amounts.

7.4. Services will resume only after issues are resolved.

7.5. Charges remain payable during suspension periods.

7.6. Cancellation charges may apply upon termination.

7.7. Re-activation charges may apply after suspension.

8. Additional Termination Provisions

8.1. The Client is responsible for arranging a new supplier after termination.

8.2. Standard rates may apply after notice of termination.

8.3. Reconnection charges and new contract periods may apply.

9. Confidentiality

9.1. Both parties agree to maintain confidentiality of shared information.

9.2. Confidentiality does not apply to publicly available or legally required disclosures.

10. Force Majeure

10.1. Neither party is liable for delays caused by events beyond reasonable control.

10.2. Force majeure includes disasters, strikes, war, and transport disruption.

11. Non-poaching of Staff

11.1. Neither party may hire the other party’s staff during or shortly after the agreement.

11.2. Breach may result in financial penalties.

12. Miscellaneous

12.1. Agreements may not be assigned without consent.

12.2. Public announcements require approval.

12.3. RAPID IT SUPPORT LIMITED is responsible for staff taxation and benefits.

12.4. Invalid terms will be severed without affecting remaining terms.

12.5. Failure to enforce a term does not waive future rights.

12.6. Headings are for convenience only.

12.7. Notices must be sent in writing.

12.8. English Law governs these Terms.

13. Client’s Data

13.1. RAPID IT SUPPORT LIMITED will access Client data only as necessary.

13.1.1. Client data may only be disclosed where legally required.

13.1.2. Ownership of Client data remains with the Client.

14. Personal Data and Data Protection

14.1. Personal Data will be processed according to GDPR and applicable laws.

14.1.1. Data may be stored and processed in the UK or other countries.

14.1.2. RAPID IT SUPPORT LIMITED will comply with obligations in the event of a Personal Data Breach.
